Terms of Service

1. Acceptance of Terms

By accessing or using PropPilot.ai (hereinafter, "the Service", "the Platform" or "we"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access the Service. These terms apply to all users of the platform, including administrators, agents and anyone who interacts with AI assistants deployed through it.

2. Description of Service

PropPilot.ai is a B2B SaaS platform that enables real estate agencies to deploy conversational artificial intelligence agents. The Service includes:

• AI assistants for customer service across multiple channels (web, WhatsApp, Telegram).
• Contact and real estate lead management.
• Calendar integration for appointment scheduling.
• Customer identity verification (KYC).
• Analytics and activity reports.

3. User Accounts

3.1 Registration

To use the Service you must create an account providing truthful and complete information. You are responsible for maintaining the confidentiality of your access credentials and for all activities that occur under your account.

3.2 Requirements

You must be at least 18 years old and have legal capacity to enter into contracts. If acting on behalf of an organization, you represent that you have authority to bind that organization.

3.3 Account Security

We strongly recommend enabling two-factor authentication (2FA). You must immediately notify us of any unauthorized use of your account at security@proppilot.ai.

4. Plans and Billing

4.1 Subscriptions

The Service is offered through monthly or annual subscriptions according to the contracted plan. Prices are published on our pricing page and may vary by billing country.

4.2 Payment

Payments are processed through Stripe. By providing payment information, you authorize recurring charges according to your plan's billing cycle. Prices do not include applicable taxes which will be added as appropriate.

4.3 Renewal and Cancellation

Subscriptions automatically renew at the end of each period. You can cancel at any time from your settings panel. Cancellation will be effective at the end of the current billing period, with no prorated refunds.

4.4 Price Changes

We reserve the right to modify prices with 30 days' notice. Changes will not affect the already-paid subscription period.

5. Acceptable Use

You agree to use the Service responsibly and legally. It is prohibited to:

• Use the Service for illegal or fraudulent purposes.
• Send unsolicited mass communications (spam) through messaging channels.
• Impersonate third parties or make false statements about your affiliation.
• Upload malicious content, viruses or harmful code.
• Attempt to access unauthorized systems, reverse engineer or breach security measures.
• Use the AI assistant to generate offensive, discriminatory or illegal content.
• Intentionally overload systems or perform denial of service attacks.

6. Intellectual Property

6.1 Our Property

PropPilot.ai, including its code, design, logos, documentation and content, is owned by PROPILOT AI TECHNOLOGIES L.L.C and is protected by intellectual property laws. You do not acquire any ownership rights to the Service beyond the limited license to use.

6.2 Your Content

You retain all rights to content you upload to the platform (properties, documents, your agency logos). You grant us a limited license to process such content in order to provide the Service.

6.3 Lead Data

Your contact and lead data belongs to you. We act as data processors as established in our Data Processing Agreement (DPA).

7. Artificial Intelligence and Limitations

7.1 Nature of the Service

The AI assistant uses language models (LLM) to generate responses. Although we strive to provide accurate information, these systems can generate inaccurate, incomplete or incorrect responses ("hallucinations").

7.2 No Guarantee of Accuracy

7.3 Your Responsibility

You are responsible for: verifying information accuracy before making business decisions, properly configuring the assistant's knowledge base, keeping your property information up to date, and supervising assistant conversations.

7.4 Human Escalation

Users of your assistant can request to speak with a human at any time. You must ensure you have staff available to handle these requests.

8. Service Availability

8.1 Service Level

We strive to maintain 99.9% Service availability. However, interruptions may occur due to planned maintenance (notified 24h in advance) or circumstances beyond our control.

8.2 Maintenance

We perform scheduled maintenance windows typically during low-usage hours. We will notify you by email of any maintenance that may significantly affect the Service.

8.3 No Warranties

The Service is provided "AS IS" and "AS AVAILABLE". We do not guarantee that the Service will be uninterrupted, secure or error-free.

9. Limitation of Liability

9.1 Exclusions

9.2 Liability Cap

Our total cumulative liability under these terms shall not exceed the amount you have paid for the Service in the 12 months prior to the incident giving rise to the claim.

9.3 Exceptions

These limitations do not apply to: liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless PROPILOT AI TECHNOLOGIES L.L.C and its employees, officers and agents from any claims, damages, losses or expenses (including reasonable legal fees) arising from: your use of the Service; your breach of these Terms; your violation of third party rights; content you upload or transmit through the Service.

11. Termination

11.1 By You

You may cancel your account at any time from settings. After cancellation, you will lose access to your data after 30 days. We recommend exporting your data before canceling.

11.2 By Us

We may suspend or terminate your access if: you breach these Terms, you fail to pay applicable fees, your use poses a security risk, or we receive a legal requirement.

11.3 Effects

Upon termination: your usage rights will cease, you will remain bound by clauses that by their nature should survive (intellectual property, limitation of liability, etc.).

12. Governing Law and Jurisdiction

12.1 Governing Law

These Terms are governed by the laws of the United Arab Emirates, without prejudice to mandatory consumer protection rules of your country of residence.

12.2 Jurisdiction

For any dispute arising from these Terms, the parties submit to the jurisdiction of the Courts of Dubai, United Arab Emirates, unless applicable law establishes a different venue.

12.3 Alternative Resolution

Before going to court, the parties will attempt to resolve disputes in good faith through mediation or other alternative dispute resolution mechanisms.

13. Modifications

We reserve the right to modify these Terms at any time. We will notify you of significant changes at least 30 days in advance by email or through a notice on the platform. Continued use of the Service after changes take effect constitutes your acceptance of the new terms.

14. General Provisions

14.1 Severability

If any provision of these Terms is held invalid, the remaining provisions will remain in full force.

14.2 Waiver

Our failure to exercise a right does not constitute a waiver of that right.

14.3 Assignment

You may not assign your rights under these Terms without our prior written consent.

14.4 Entire Agreement

These Terms, together with the Privacy Policy and DPA (if applicable), constitute the entire agreement between the parties.
